All current and future services provided by MG Scientific Solutions are subject to these Terms unless otherwise agreed in writing. If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement will control.
MG Scientific Solutions provides scientific and technical consulting services, which may include but are not limited to: scientific consulting, process development and scale-up support, manufacturing support, formulation and ingredient evaluation, analytical strategy and data review, quality-system and compliance support, technical troubleshooting, vendor and CDMO coordination, AI-enabled scientific support, and technical documentation and project planning.
Unless expressly agreed in writing, MG Scientific Solutions does not guarantee regulatory approval, commercial success, manufacturing success, product performance, analytical results from third-party laboratories, or acceptance by any regulatory authority, client, investor, or commercial partner.
Quotations and proposals are estimates based on the information available at the time they are prepared and are subject to change unless expressly stated as binding. A quotation may not include all charges necessary to complete a project if additional work, testing, materials, third-party services, travel, or project changes become necessary. MG Scientific Solutions may revise a quotation if the project scope changes, additional information becomes available, or additional resources are required.
The client is responsible for providing complete, accurate, and timely information necessary for MG Scientific Solutions to perform the requested services, including project objectives, technical background, product or process information, specifications, safety data, analytical data, regulatory requirements, and required timelines.
MG Scientific Solutions is not responsible for delays, additional costs, incorrect conclusions, or incomplete work caused by inaccurate, incomplete, delayed, or misleading information provided by the client.
If a client submits samples, materials, chemicals, formulations, documents, or data to MG Scientific Solutions, the client is responsible for ensuring the submission is lawful, properly labeled, accurately described, and safe for handling, including providing all relevant safety data sheets where applicable.
The client accepts the risk of accidental loss, damage, degradation, or destruction of samples during shipping, handling, storage, or testing, except to the extent caused by MG Scientific Solutions' gross negligence or willful misconduct. MG Scientific Solutions may refuse or stop work on any sample that presents safety, legal, or regulatory concerns.
MG Scientific Solutions may assist clients in identifying, communicating with, evaluating, or coordinating with third-party laboratories, vendors, CDMOs, CROs, or other service providers. Unless expressly agreed in writing, third-party providers are independent entities and are not employees, agents, or subcontractors of MG Scientific Solutions.
MG Scientific Solutions is not responsible for the acts, omissions, delays, pricing, quality, data integrity, test results, manufacturing outcomes, or regulatory status of independent third-party providers.
The client is responsible for any costs incurred as a result of changes to project instructions, scope, specifications, samples, or timelines. MG Scientific Solutions cannot guarantee that cancellation requests can be honored after work has begun or third-party services have been engaged. If a project is cancelled after work has begun, the client may be billed for all work performed, time incurred, materials purchased, third-party costs, and non-cancellable expenses up to the date of cancellation.
Any turnaround times, project timelines, or completion estimates provided by MG Scientific Solutions are approximate unless expressly guaranteed in writing. MG Scientific Solutions will make reasonable efforts to meet agreed timelines. Clients should notify MG Scientific Solutions in writing of any critical deadlines before work begins.
Unless otherwise agreed in writing, payment terms are Net 30 from the invoice date. MG Scientific Solutions may require advance payment, a retainer, or a deposit before beginning work. MG Scientific Solutions reserves the right to delay, suspend, or stop work if payment is overdue or the client's account is not in good standing.
Overdue balances may be subject to a late charge of 1.5% per month, or the maximum amount permitted by applicable law, whichever is lower. The client is responsible for reasonable costs of collection, including attorney's fees, to the extent permitted by law.
Unless otherwise stated in writing, quoted fees do not include applicable taxes, shipping, courier charges, travel expenses, third-party laboratory fees, third-party manufacturing costs, vendor charges, special materials, reference standards, reagents, regulatory fees, or other external costs. The client is responsible for approved third-party costs and reasonable out-of-pocket expenses incurred in connection with the project.
MG Scientific Solutions will use reasonable care to protect confidential information provided by the client and will use such information only for the purpose of providing services. However, unless a separate written non-disclosure agreement or confidentiality agreement is executed, information submitted through the website or general email may not automatically create a formal confidential relationship.
For sensitive or proprietary projects, clients should request and execute a written confidentiality agreement before disclosing proprietary information. Confidentiality obligations do not apply to information that is publicly available, was already known to MG Scientific Solutions without restriction, is independently developed, is received lawfully from a third party, or must be disclosed by law or legal process.
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property. MG Scientific Solutions retains ownership of its general knowledge, methods, templates, tools, workflows, and know-how developed independently or used generally in its business. Project-specific deliverables prepared and paid for by the client may be used by the client for internal business purposes, subject to payment in full. No transfer or license of intellectual property is granted except as expressly stated in a written agreement signed by both parties.
Reports, recommendations, technical assessments, and other deliverables provided by MG Scientific Solutions are prepared for the specific client and project purpose for which they were requested. Deliverables should not be used for regulatory submissions, investor materials, marketing claims, litigation, or third-party reliance unless expressly agreed in writing. The client is responsible for determining whether any deliverable is suitable for its intended use.
MG Scientific Solutions provides scientific, technical, quality, manufacturing, analytical, formulation, and business-support information. Unless expressly agreed in writing, MG Scientific Solutions does not provide legal, medical, financial, tax, or formal regulatory representation services. Clients should consult qualified professionals in those areas.
MG Scientific Solutions will perform services in a professional manner consistent with reasonable industry practices for similar scientific and technical consulting services. Except as expressly stated in writing, MG Scientific Solutions makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, regulatory approval, commercial success, product performance, manufacturing success, analytical outcome, or non-infringement.
The client agrees to indemnify, defend, and hold harmless MG Scientific Solutions, its owners, employees, contractors, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses arising out of or related to: the client's products, materials, samples, or business activities; information provided by the client; the client's use of MG Scientific Solutions' services or deliverables; the client's regulatory, safety, manufacturing, or commercial decisions; or the client's violation of applicable laws or third-party rights.
The MG Scientific Solutions website is provided for general informational purposes only. Website content may be changed or removed at any time without notice. MG Scientific Solutions does not warrant that the website will be uninterrupted, error-free, or free from harmful components. Users may not use the website for unlawful purposes or to submit false, misleading, or infringing content.

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Unless otherwise agreed in writing, any legal action shall be brought in the state or federal courts located in New Jersey.
MG Scientific Solutions reserves the right to update or modify these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of the website or continued engagement after updates are posted constitutes acceptance of the updated Terms.
